RESUMEN DE LAS CONDICIONES GENERALES DE LA SUBASTA

Las Condiciones Generales de la presente Subasta Pública de los bienes de ALQUIMADRID VENTA DE MAQUINARIA DE OBRAS PÚBLICAS, S.L., se extienden, por analogía y, por tanto, son de aplicación para la venta de los lotes (bienes) de las mercantiles (también en liquidación): CONSTRUCCIONES OGELLA, S.L., CONSTRUCCIONES J.D. FERREIRA, S.L., PASCUAL HERMANOS, S.L., TEJOCAR MOTOR, S.A., y AGUIR, S.A., sin perjuicio de que se pudieran incorporar bienes de otras compañías que, no estando sometidas a ningún proceso liquidatorio fuesen susceptibles de comercializarse en la presente Subasta.

1.- INSCRIPCIÓN Y CAUCION:

Para participar en la subasta es requisito indispensable inscribirse y depositar (en garantía del cumplimiento de las obligaciones) una caución de:

A) MIL QUINIENTOS EUROS (1.500.-€) sin perjuicio de que LEGAL AUCTIONS SUBASTAS, S.L. reclame al licitador durante la Subasta (en Lotes de importante valor económico) ampliaciones de la caución que cubran, al menos el 20% del valor de remate hasta ese momento.

En caso de no adjudicación de ningún lote por parte del Licitador, la caución se devolverá al finalizar la subasta, siempre que éste no sea el penúltimo licitador en pujas superiores a Lotes cuyo Valor Mínimo de Salida sea igual o superior a 10.000.-€, en cuyo caso, LEGAL AUCTIONS SUBASTAS, S.L., se reserva el derecho de mantener la caución hasta que el Adjudicatario realice el ingreso del 50% del valor de remate. Por tanto, si el licitador de la penúltima puja, decidiera retirarse de la sala con anterioridad a que el licitador de la primera puja realice el ingreso, la caución se le devolverá mediante transferencia bancaria en un plazo no superior a tres días hábiles desde el fin de la Subasta.

Si el Licitador resulta Adjudicatario de algún lote, y su compra fuese superior al valor de la caución, ésta se abonará al valor de la compra y en ningún caso se devolverá. En caso de que la adjudicación sea inferior al valor de la caución, LEGAL AUCTIONS SUBASTAS, S.L. se reserva el derecho de retener el cheque de la caución como garantía de pago. En cuanto el Adjudicatario haga efectivo el pago de la compra, LEGAL AUCTIONS SUBASTAS, S.L. devolverá de manera INMEDIATA el cheque en la forma en que el Adjudicatario se lo indique.

Las cauciones DEBERÁN REALIZARSE MEDIANTE CHEQUE CONFORMADO A FAVOR DE LEGAL AUCTIONS SUBASTAS, S.L.,TARJETA DE CRÉDITO O BIEN EN EFECTIVO METÁLICO

2.- ADJUDICACIÓN Y FORMA DE PAGO:

Todos los términos de pago tendrán lugar de acuerdo con el artículo 7 de las Condiciones Generales de Venta.

3.- GASTOS TOTALES DE ADQUISICIÓN:

Los gastos totales de adquisición estarán compuestos por:

a) VALOR DE REMATE, VENTA O ADJUDICACIÓN correspondiente a la mayor puja.

b) El 15% de comisión a favor de LEGAL AUCTIONS SUBASTAS, S.L.

c) El I.V.A. sobre el Valor de Remate o Adjudicación y sobre la comisión de LEGAL AUCTIONS SUBASTAS, S.L.

d) Gastos inherentes a la Notificación y/o Transmisión del/los Vehículos.

4.- RETIRADAS:

4.1. El abono o pago y la entrega de los bienes vendidos tendrá lugar de acuerdo con los artículos 7 y 9 de las Condiciones Generales de Venta.

4.2. Se establecerán planes de retirada de los Lotes con cada COMPRADOR, que irán en consonancia con la importancia o la dimensión de los Lotes a retirar.

4.3. Los COMPRADORES quedan obligados a retirar sus Lotes antes del 20 de Noviembre de 2.013, Después de este plazo no será entregado ningún Lote.

4.4. Solamente serán entregados los bienes vendidos, mediante la presentación de la Factura Proforma por parte de EL COMPRADOR y previa autorización por parte de LEGAL AUCTIONS SUBASTAS, S.L.

Para evitar cualquier retraso administrativo, rogamos a los Licitadores cumplimentar los boletines de inscripción al inicio de la Subasta, donde deberán indicar en letra de imprenta su Nombre, Empresa, Dirección, Número de Cuenta Bancaria, Nombre del Banco, Número de Identificación Fiscal y Teléfono de Contacto.

TERMS (ENDS) OF THE AUCTION

1. INSCRIPTION AND CAUTION: To be able to take part in the auction is an indispensable requirement to do the inscription and leave a cautionary deposit (in guarantee of the fulfillment of the obligations)

For the participation of the Auction: 1.500.-€ notwithstanding that LEGAL AUCTIONS SUBASTAS, S.L. claiming the bidder during the auction (in Lots of great economic value) the bond extensions covering at least 20% of the auction value so far.

Failure to award of any lot by the Bidder, the deposit will be refunded after the Auction, provided that this is not the penultimate Bidder Lots Bids exceeding Minimum value of output that is equal to or greater than 10.000. - €, in which case LEGAL AUCTIONS SUBASTAS, S.L. reserve the right to keep the deposit until the Buyer perform the payment of 50 % of the value. Therefore. If the Bidder of the penultimate bid, decided to withdraw from the room before the first Bidder make payment, the bond will be refunded by bank transfer not later than three business days from the Auction.

If the Bidder is the Buyer of any lot, and the purchase exceeds the value of the bond, it will pay the value of the purchase and in no case be returned. In case, that the purchase is less than the value of the bond, LEGAL AUCTIONS SUBASTAS, SL reserves the right to withhold the check of the bond to guarantee payment. As the Buyer makes the payment of purchase LEGAL AUCTION SUBASTAS, S.L., IMMEDIATLY return the check the way the Buyer directed.

Mentioned cautionary deposit MUST BE IN CERTIFIED CHECK issued in favor of LEGAL AUCTIONS SUBASTAS, S.L., CREDIT CARD or BY CASH.

2. TERMS (ENDS) OF PAY AND PROCEDURE:

All the terms of payment will take place in agreement with the article 7 of the General Conditions of Sale.

3. THE TOTAL ACQUSITION COST CONSIST:

a) VALUE OF AUCTION SALE OR AWARD for the highest bid.

b) 15% Premium of the allotment value on the auction.

c) VAT or I.V.A. when applicable

d) Expenditure linked to the Notify or Transmission / Vehicles

4.- REMOVED:

4.1. The payment and delivery of goods sold, will be held in accordance with Articles 7 and 9 of General Conditions of Sale.

4.2. Contingency plans for delivery, will be in line with the importance or size of the Lots to be removed.

4.3. The Buyers are required to remove their Lots before November 20, 2013. After this deadline will not be given any Lot.

4.4. Only goods sold will be delivered through the submission of Proforma Invoice by the purchaser and prior authorization of LEGAL AUCTIONS SUBASTAS, S.L.

To avoid any administrative delays we ask the Bidders to fill in a Registration form in the beginning of the Auction, clearly indicating Name, Company Name, Address, and contacts.

CONDICIONES GENERALES DE LA SUBASTA

Estas Condiciones Generales son de aplicación a todos los licitadores que participen en la Subasta de LEGAL AUCTIONS SUBASTAS, S.L., y adquieran bienes, tanto durante el acto de la misma, como eventualmente después.

Definiciones

- Las Condiciones Generales de esta subasta se definen del siguiente modo:

1.

LEGAL AUCTIONS SUBASTAS, S.L.: Entidad Especializada en Subastas con domicilio en calle Gran Vía 69, 7º-13-15, 28013 de Madrid, o la(s) persona(s) autorizadas por Legal Auctions Subastas, S.L. para organizar la subasta.

2.

Subasta: Venta pública de bienes muebles e inmuebles al mejor postor.

3.

Días de subasta: Período de tiempo, compuesto por un número de días, consecutivos o no, durante los cuales la subasta se efectúa en un local o sala.

4.

Lote: Un bien mueble o inmueble o un conjunto de bienes muebles o inmuebles que van a subastarse (con la designación de un número).

5.

Vendedor: Persona física o jurídica que autoriza la subasta de un bien (lote) y que, en virtud de algún derecho o título sobre ese bien, está facultada para conceder dicha autorización.

6.

Puja: Cualquier oferta por un lote, realizada por un potencial Comprador o Licitador en el transcurso de la subasta.

7.

Licitador: Persona física o jurídica inscrita en la Subasta que realiza una puja.

8.

Remate: Cierre de la puja a la mejor oferta si ésta cubre el valor mínimo o valor base, o registro de la oferta que no cubriendo dicho valor base, más se aproxime. En este segundo caso, se registra la oferta y se contesta al postor en los días siguientes. Si se acepta definitivamente su oferta, ésta se considera desde el momento de la aceptación expresa, remate del lote en cuestión.

9.

Comprador o Adjudicatario: Persona física o jurídica a la que se le adjudica un lote, o conjunto de lotes en la Subasta o después de ella.

Precio de Adquisición o Valor de Remate : El valor de la mayor oferta o puja en subasta, (valor de remate) incrementada por los dos siguientes costes:

15% del precio de valor de remate a favor de LEGAL AUCTIONS SUBASTAS, S.L.

El I.V.A. correspondiente.

Entrega: La entrega de los lotes al Comprador o a su representante autorizado, sin perjuicio de que la retirada de los bienes sea a cuenta del Comprador.

Condiciones especiales de la Subasta: Las cláusulas que se aplican adicionalmente a las Condiciones Generales de subasta, y que serán referidas en el catálogo de la misma o anunciadas verbalmente con anterioridad.

Artículo 1º

Descripción de los Lotes

1.

LEGAL AUCTIONS SUBASTAS, S.L. y el Vendedor administrarán una necesaria corrección y claridad en la descripción de cada lote en el catálogo y folletos de la Subasta, no siendo ninguno de los dos responsables por cualquier daño perjuicio derivado de alguna descripción incorrecta o incompleta.

2.

Cada lote será vendido en el estado de conservación en el que se encuentra en el momento del remate, con cualquier defecto que eventualmente se verifique. Presumiblemente, el Comprador deberá haber inspeccionado los bienes en los días anteriores a la subasta. LEGAL AUCTIONS SUBASTAS, S.L. y el Vendedor no asumen ninguna responsabilidad sobre el estado de conservación de los lotes vendidos. Los Subastadores no garantizan al postor la existencia de calidades mencionadas ni la condición operacional de ningún artículo que consta en el catalogo.

CADA ARTICULO SE VENDE COMO ESTÁ Y DONDE ESTÁ Y SIN NINGÚN TIPO DE GARANTIA

3.

Todos los lotes adjudicados serán responsabilidad del Comprador desde el momento de la adjudicación. Como quiera que puede darse la circunstancia de que no haya seguridad en las instalaciones de la subasta, LEGAL AUCTIONS SUBASTAS, S.L. no se hace responsable de daños, pérdidas o robos en los equipos. Se recomienda al Comprador asegurar sus compras lo antes posible.

Artículo 2º

Organización de la subasta

1.

La organización, preparación y ejecución de la Subasta serán de responsabilidad de LEGAL AUCTIONS SUBASTAS, S.L.

2.

La Subasta transcurrirá siguiendo las pautas que constan en las condiciones generales y especiales del catálogo de la subasta, reservándose LEGAL AUCTIONS SUBASTAS, S.L. el derecho a efectuar cualquier alteración que entienda conveniente.

3.

Cualquier dato que no estuviera señalado o numerado no será incluido en la Subasta sin previa autorización del Vendedor y de LEGAL AUCTIONS SUBASTAS, S.L.

4.

LEGAL AUCTIONS SUBASTAS, S.L. se reserva los siguientes derechos, los cuales pueden ser ejercidos tanto antes como durante la Subasta, sin necesidad de justificación alguna:

- No considerar una oferta.

- Excluir uno o más potenciales compradores de la Subasta y reservarse el derecho de admisión.

- Unir datos y lotes, separar lotes y retirar datos / lotes de la Subasta.

- Relativo a todos los lotes, o a uno o más lotes, cancelar e interrumpir la subasta, comenzar de nuevo, o retomar la subasta en la penúltima licitación.

- Rectificar cualquier error de LEGAL AUCTIONS SUBASTAS, S.L. en las ofertas o remates, de modo que el potencial comprador no pueda obtener algún provecho con estos errores.

- Tomar cualquier otra medida que sea necesaria.

5.

LEGAL AUCTIONS SUBASTAS, S.L. decidirá sobre cualquier error del licitador al hacer la oferta, y en consecuencia, podrá mantenerla, no mantenerla o corregirla..

6.

La decisión de LEGAL AUCTIONS SUBASTAS, S.L. relativa al transcurso de la Subasta y la explicación y/o adaptación de la Condiciones Generales será definitiva.

7.

La discusión sobre cualquier asunto relativo a la Subasta se efectuará, siempre a ser posible, en una reunión en las oficinas de LEGAL AUCTIONS SUBASTAS, S.L., pudiendo esta designar otro lugar.

Artículo 3º

Transcurso de la Subasta

1.

Los remates serán hechos a las ofertas más elevadas.

2.

Las ofertas serán hechas en público, de forma clara y visible, con el fin de evitar cualquier duda en la mesa de Subasta con respecto a la decisión del Licitador. LEGAL AUCTIONS SUBASTAS, S.L. está facultada para realizar ofertas o pujas a favor de terceros.

3.

El Licitador de la oferta más elevada es responsable de su licitación y será el Comprador del lote después del remate o – en caso de que el lote se encuentre condicionado a través de anuncio expreso en las Condiciones Especiales del Catálogo o anunciadas verbalmente al inicio de la licitación o de la Subasta - será el Comprador después de satisfechos o superados esos condicionantes.

4.

El Licitador de la oferta más elevada y/o de la penúltima más elevada, mantendrá su oferta durante el día de Subasta, para en el caso de que el remate no tenga lugar o de que el lote no haya sido atribuido al comprador o a la oferta más elevada debido a eventuales circunstancias especiales.

5.

Los lotes serán adjudicados a las mejores ofertas que superen o, al menos, cubran los valores mínimos de salida en Subasta.

Artículo 4º

Ofertas

1.

Todas las ofertas serán incondicionales, irrevocables y sin restricción alguna.

2.

Si una o varias personas en conjunto adquieren el derecho sobre un lote a través de una oferta, erigiéndose en Adjudicatario/s, asumirán todas las obligaciones que deriven de su participación en la subasta.

Artículo 5º

Ofertas en nombre de terceros; Ordenes de oferta o de Compra.

1.

La persona que en la Subasta haga una oferta será considerada como Licitador, aunque ésta declare no haber adquirido el lote para sí mismo, y será personalmente responsable del cumplimiento de las obligaciones en relación a LEGAL AUCTIONS SUBASTAS, S.L. y al Vendedor.

2.

LEGAL AUCTIONS SUBASTAS, S.L. puede aceptar órdenes de compra de potenciales compradores y puede imponer otras condiciones referentes a las órdenes de compra. LEGAL AUCTIONS SUBASTAS, S.L. o sus colaboradores, no pueden ser considerados responsables por negligencia o errores en la ejecución de las órdenes de compra. Legal Auctions Subastas, S.L se reserva el derecho de recusar órdenes de compra y en caso de aceptación de una orden de compra, de exigir el pago parcial o el pago total del lote.

3.

Simultáneamente Legal Auctions Subastas, S.L tiene el derecho de suspender la ejecución de una orden de compra, en caso de que la descripción del lote, o combinación de lotes, sea alterada en el transcurso de la Subasta y sustituida por otra descripción diferente de la existente en el catálogo de la subasta.

4.

Las condiciones de la Subasta se aplican en la totalidad de las adquisiciones ejecutadas a través de una orden de oferta o de compra.

Artículo 6º

Remate, No-Remate y Cancelación

1.

El acuerdo de compra, como consecuencia de la Subasta será concluido a través del Remate. El Remate incluye el compromiso de proceder a la entrega, una vez que el Comprador haya cumplido con sus obligaciones con respecto a Legal Auctions Subastas, S.L y el Vendedor.

2.

Legal Auctions Subastas, S.L tendrá los dos siguientes derechos :

- No rematar o no adjudicar.

- Rematar o adjudicar bajo condiciones expresas.

Artículo 7º

Condiciones de Pago del Comprador

1.

Inmediatamente después de finalizar la Subasta, los Compradores deberán pasar por la mesa de Administración, donde a solicitud de LEGAL AUCTIONS SUBASTAS, S.L. deberán abonar en concepto de señal a cuenta el 50% del Valor de Remate. Para mayor celeridad en los trámites Administrativos, LEGAL AUCTIONS SUBASTAS, S.L. determinará un orden, dando prioridad siempre y en todo caso, a aquellos compradores cuyas cuantías sean las más elevadas.

El pago, en caso de cheque, será emitido a la orden de LEGAL AUCTIONS SUBASTAS, S.L.

2.

El restante 50% (incluida la comisión y el I.V.A. total correspondiente) para completar el pago deberá ser realizado mediante transferencia bancaria a:

antes del 6 de Noviembre de 2.013. En caso de que el pago no se haya efectuado antes de este plazo Legal Auctions Subastas, S.L se reserva el derecho de considerar sin efecto la venta o, alternativamente, cobrar adicionalmente al comprador una comisión del 15% sobre todos los conceptos adeudados más intereses de demora respecto al periodo en falta.

LEGAL AUCTIONS SUBASTAS, S.L. se reserva el derecho de solicitar a los compradores, una garantía bancaria para la cobertura de los valores objeto de la caución o de los pagos correspondientes a la compra de los lotes.

El pago total del lote o conjunto de lotes habrá de estar realizado antes de proceder a desmantelar o retirar el (los) lote (s), incluso para proceder a su retirada de forma parcial.

3.

1º Pago o señal: En caso de recusa o imposibilidad del Comprador para efectuar la señal del 50% a cuenta y/o para la presentación de la garantía bancaria, Legal Auctions Subastas, S.L se reserva el derecho de subastar nuevamente el lote o el conjunto de lotes, o de atribuir a la(s) oferta(s) más elevada(s) o a la(s) penúltima(s) más elevada(s), conforme al caso, o incluso venderlo en privado conforme a las condiciones de la Subasta, sin perjuicio de que Comprador pierde la caución depositada e incurra en otras responsabilidades.

4.

2º Pago o resto: En caso de que el Comprador no respete las condiciones de pago antes descritas, no efectuando a su debido tiempo el restante pago del (de los) lote(s) rematado(s), la caución prestada así como la señal a cuenta del 50% del valor de remate señalada en el nº 1 de este artículo revertirá de inmediato a favor del Titular de los bienes o vendedor, sin perjuicio de que LEGAL AUCTIONS SUBASTAS, S.L., descuente de ese importe la parte correspondiente a sus honorarios de venta.

5.

El asistente a la Subasta queda obligado a satisfacer a LEGAL AUCTIONS SUBASTAS, S.L. el 15% sobre el valor de remate. Cualquier incidencia que pudiera derivar en una resolución de la compra-venta, no liberará en ningún caso al Adjudicatario de abonar los honorarios de LEGAL AUCTIONS SUBASTAS, S.L. En consecuencia, el incumplimiento en el pago de parte, o del total de la compra (lotes adjudicados) por parte del Comprador, no exime a éste de pagar a LEGAL AUCTIONS SUBASTAS, S.L. la comisión estipulada, sin perjuicio de que éste, en nombre del Vendedor, o directamente el Vendedor, ejerzan las acciones legales que, en derecho les asistan.

En ese caso, el Comprador o Adjudicatario responderá de los gastos diarios de custodia, seguridad, seguro y depósito en el parking en el que los bienes se encuentren, así como del lucro cesante derivado de no poder utilizar dichos bienes, durante el periodo que transcurra entre el incumplimiento y la resolución judicial.

Artículo 8º

Informaciones Obligatorias

8.1.

Los Licitadores están obligados a identificarse ante Legal Auctions Subastas, S.L, así como a proporcionar cualquier información que ésta considere necesaria para indagar si las partes intervinientes pueden o son capaces de cumplir con sus obligaciones financieras para con los organizadores de esta Subasta.

8.2.

ALQUIMADRID VENTA DE MAQUINARIA DE OBRAS PÚBLICAS, S.L., CONSTRUCCIONES OGELLA, S.L., CONSTRUCCIONES J.D. FERREIRA, S.L., PASCUAL HERMANOS, S.L., TEJOCAR MOTOR, S.A., Y AGUIR, S.A, (TODAS EN LIQUIDACIÓN), Y OTRAS, se comprometen al levantamiento de embargos o cargas si las hubiere, en un plazo máximo de TRES MESES, sin perjuicio de que puedan realizarse dichos levantamientos antes de esa fecha.

El posible no levantamiento por el juzgado correspondiente de algún embargo, en el plazo estipulado, sobre algún lote adjudicado en la Subasta, dará derecho al Adjudicatario, a la recuperación del importe del precio pagado sin intereses, renunciando expresamente a presentar reclamaciones de cualquier tipo contra el VENDEDOR y/o LEGAL AUCTIONS SUBASTAS, S.L.

En ese sentido, el Adjudicatario o comprador que haya retirado los bienes del lugar de la Subasta, deberá devolverlos a su lugar de origen sin cargo alguno para EL VENDEDOR y/o LEGAL AUCTIONS SUBASTAS, S.L. en los cinco días siguientes al vencimiento del plazo estipulado para proceder al levantamiento del embargo. No serán reembolsados los gastos de mejoras, reparaciones, etc., sobre los bienes, soportados por el Comprador o Adjudicatario.

Artículo 9º

Entrega de la Mercancía

1.

Después de que el Comprador haya cumplido con sus obligaciones, respecto al pago en los términos de las condiciones arriba estipuladas, este podrá retirar el(los) lote(s), dentro del plazo y en el lugar previsto por Legal Auctions Subastas, S.L, bastando para eso identificarse en el acto de la entrega de la mercancía aportando la factura. El Comprador queda obligado a retirar la mercancía con anterioridad al 20 de Noviembre de 2.013, a no ser que Legal Auctions Subastas, S.L prorrogue explícitamente ese plazo. En caso de que la retirada de el (los) lote (s) no se haya efectuado antes de esa fecha el Comprador se hará automáticamente responsable por los daños y perjuicios causados y deberá abonar a Legal Auctions Subastas, S.L en concepto de gastos 50,00€ por lote y día a partir del vencimiento del plazo de retirada.

2.

Después del remate no hay posibilidad de resolución del contrato de compra.

3.

Los lotes quedarán bajo responsabilidad del Comprador desde el momento del remate. Legal Auctions Subastas, S.L queda exenta de cualquier responsabilidad y el Comprador no podrá reclamar daños o perjuicios de cualquier naturaleza. Como quiera, que pudiera darse la circunstancia de que no hubiera seguridad en las instalaciones de la Subasta, LEGAL AUCTIONS SUBASTAS, S.L. no se hace responsable de daños, pérdidas o robos en los equipos. Se recomienda al Comprador asegurar sus compras lo antes posible.

4.

El Comprador queda obligado a acatar el plan de retirada y las cláusulas señaladas en las Condiciones Especiales de Venta.

5.

El Comprador está obligado a tomar todas las precauciones necesarias en el desmantelamiento y retirada de sus lotes. Será el responsable y asumirá el valor económico y los daños provocados en los bienes de otros compradores. Quedando obligado a indemnizar a Legal Auctions Subastas, S.L por todos los daños producidos en dicho desmantelamiento y retirada de los bienes.

6.

En el momento de la recogida de uno o más lotes rematados, el Comprador quedará obligado a acatar las instrucciones de Legal Auctions Subastas, S.L y/o personas por ésta designadas.

Artículo 10º

Vehículos, documentaciones, notificaciones, etc.

Transferencia y cambio de titularidad de los vehículos

10.1 Después de que El Comprador o Adjudicatario haya cumplido con sus obligaciones, respecto al pago en los términos y condiciones arriba estipulados, LEGAL AUCTIONS SUBASTAS, S.L, en nombre y representación del Vendedor, iniciará los trámites dirigidos a la notificación y/o transferencia de venta del/los mismos, solicitando la Documentación necesaria tanto a El Comprador como a la propia Administración Concursal, la cual, promoverá el levantamiento de cuantas cargas y gravámenes pudieran afectar a los vehículos adjudicados, adoptando cuantas otras medidas fueran necesarias para el buen fin de la transmisión. En caso de no poder ser levantadas las cargas en un plazo máximo de 3 meses, el Comprador o Adjudicatario podrá solicitar la anulación de la compra, o bien, aceptar una ampliación del plazo estipulado. Si optará por anular la compra, LEGAL AUCTIONS SUBASTAS, S.L. devolverá el importe anticipado a El Comprador o Adjudicatario, descontando, en su caso, el importe correspondiente a sanciones de tráfico que afectaran al vehículo/s que se hubieran generado desde la entrega del mismo/s a El Comprador o Adjudicatario, hasta el momento de su devolución.

10.2. La documentación que deberá aportar El Comprador o Adjudicatario es la siguiente:

A) Si es persona jurídica:

Impreso de notificación firmado (le será facilitado por Legal Auctions Subastas).

Fotocopia del C.I.F. de la empresa.

Fotocopia del D.N.I. del apoderado (le será facilitado por Legal Auctions Subastas).

Impreso Mandato Tráfico para Turismos (sólo para turismos, le será facilitado por Legal Auctions Subastas).

Impreso de representación de personas jurídicas (le será facilitado por Legal Auctions Subastas).

B) Si es persona física:

Impreso de notificación firmado (le será facilitado por Legal Auctions Subastas).

Fotocopia del D.N.I.

Impreso Mandato Tráfico para Turismos (sólo para turismos, le será facilitado por Legal Auctions Subastas).

10.3. La documentación que deberá aportar El Vendedor (o la Administración Concursal en su caso) es la siguiente:

Impreso de notificación firmado (le será facilitado por Legal Auctions Subastas).

Fotocopia del C.I.F. de la empresa.

Fotocopia del Acta de nombramiento.

Fotocopia del D.N.I. de el/los Administrador/es Concursal/es.

Impreso Mandato Tráfico para Turismos (sólo para turismos, le será facilitado por Legal Auctions Subastas).

10.4.- LEGAL AUCTIONS SUBASTAS, S.L. procederá a realizar la notificación de venta ante la Dirección General de Tráfico, trámite que generará un coste de 150.-€ por cada vehículo y correrá a cargo del Comprador a Adjudicatario. Dicho importe deberá ser abonado mediante transferencia con anterioridad al inicio de los trámites.

10. 5.- No obstante lo anterior, si el Comprador solicita que se le haga la transferencia a su nombre, LEGAL AUCTIONS SUBASTAS, S.L. realizará los trámites pertinentes. El coste de esta gestión por cada vehículo será de 220.-€, y será de cuenta de El Comprador o Adjudicatario, quien deberá abonarlo a LEGAL AUCTIONS SUBASTAS, S.L. mediante transferencia con anterioridad al inicio de los trámites.

10.6.- El Comprador o Adjudicatario deberá retirar los vehículos en el plazo estipulado artículo 9 de las Condiciones Generales de Venta, no obstante durante el período que transcurra desde la retirada del/s vehículo/s hasta el momento del cambio de titularidad, si el Comprador o Adjudicatario decidiera realizar cualquier mejora o reparación en un vehículo adjudicado, lo hará bajo su entera responsabilidad y riesgo. En este sentido, si la transferencia del/s vehículo/s no pudiera llevarse a cabo por razones ajenas a El Comprador o Adjudicatario (tales como la imposibilidad de proceder al levantamiento de cargas que afecten a los mismos por parte del titular de los mismos), LEGAL AUCTIONS SUBASTAS, S.L. devolverá al anterior, el importe exacto correspondiente al Valor de Remate, más la Comisión, más el I.V.A. abonado, y en ningún caso, asumirá los gastos que se hubieran generado por los conceptos anteriormente descritos.

10.7.- LEGAL AUCTIONS SUBASTAS, S.L. no garantiza ni se hace responsable de que los vehículos vendidos hayan pasado la Inspección Técnica (I.T.V.). Será responsabilidad del comprador cumplir con este requisito si ésta ha caducado y deberá suscribir antes de la retirada la correspondiente Póliza de Seguros.

10.8. LEGAL AUCTIONS SUBASTAS, S.L. no se hace responsable por la falta de diligencia del Comprador en el momento de proporcionar los documentos necesarios para realizar las transferencias de los vehículos.

Del mismo modo LEGAL AUCTIONS SUBASTAS, S.L. no se responsabiliza de que el vehículo no se pueda matricular con la documentación proporcionada por el Titular o Vendedor, ni de que el vehículo esté homologado conforme a las normas de la CE, el artículo proceda o haya sido importado en la Unión Europea.

10.9.- Los camiones se venden SIN TARJETA DE TRANSPORTE (salvo que se especifique lo contrario), por tanto, todo aquel que puje por estos Lotes, es conocedor de que deberá adquirir la tarjeta de transporte correspondiente.

Artículo 11º

Cauciones

En caso de resolución de la venta, el Comprador no podrá exigir a Legal Auctions Subastas, S.L., o al Vendedor, pago alguno en concepto de intereses devengados por las señales a cuenta o por el pago de los lotes objeto de resolución.

Artículo 12º

Días de Visita, Días de Subasta, Días de Entrega

1.

Todo aquel que entre en las instalaciones de la Subasta en días de visita, días de Subasta, o en días de entrega, lo hace bajo su propia responsabilidad y riesgo. Aquellos que asisten a la Subasta admiten que están en un lugar potencialmente peligroso y deben informar de ello a sus agentes o empleados.

2.

Ni Legal Auctions Subastas, S.L ni el Vendedor asumen responsabilidad por eventuales daños sufridos en dichas zonas por el Comprador o terceros que vengan en su nombre. Del mismo modo, ninguna persona pondrá reclamación alguna contra Legal Auctions Subastas, S.L, sus agentes, empleados o responsables por posibles lesiones, accidentes, ni por daños, pérdida de bienes que ocurran por cualquier causa.

Artículo 13º

Aplicabilidad de la Ley Española

1.

A estas Condiciones Generales y, por tanto, a las relaciones jurídicas inherentes a la Subasta, se les aplicará la Legislación Española.

Artículo 14º

Fuero

Para la resolución de eventuales litigios resultantes de la interpretación de las presentes Condiciones Generales y Especiales del catálogo de la Subasta, las partes se someten a la Competencia y Jurisdicción de los Juzgados y Tribunales de Madrid.

GENERAL CONDITIONS OF SALE

These Terms are applicable by analogy to the all Auctions taking place:

ALQUIMADRID VENTA DE MAQUINARIA DE OBRAS PÚBLICAS, S.L., CONSTRUCCIONES OGELLA, S.L., CONSTRUCCIONES J.D. FERREIRA, S.L., PASCUAL HERMANOS, S.L., TEJOCAR MOTOR, S.A., Y AGUIR, S.A. (IN BANKRUPTCY), AND OTHER.

These Terms are applicable to all Bidders participating in the Auction LEGAL AUCTION SUBASTAS, S.L., and acquire property, both during the act of it, and possibly later.

Definitions

The terms used in these general terms of auction shall have the following meanings:

1.

LEGAL AUCTIONS SUBASTAS, S.L.: Legal Auctions Subastas S.L. established in Spain, Gran Vía 69, 7º Of. 13, 14 and 15 or the person(s) entrusted by Legal Auctions Subastas, S.L for the organization of the Auction concerned.

2.

Auction: The sale in public of movable matters other than by subscription.

3.

Auction Days: The period, consisting of, one or more days, consecutive or otherwise, on which the auction is held ending at 24:00 hours of the last day announced.

4.

Lot: A movable good or a group of movable goods, which is/are auctioned (under one number).

5.

Vendor: The person(s) by whose order a lot is auctioned and who is/are authorized by virtue of any right to give that order.

6.

Bid: Any sum offered for a lot or combination of lots during the Auction.

7.

Bidder: The person who makes a bid at the Auction or after it.

8.

Allotment: The declaration of Legal Auctions Subastas, S.L., that a lot or a combination of lots – against payment of purchase price is compliance with the Payment Conditions – has fallen to the highest bidder.

9.

Purchaser/Buyer: The person to whom a lot or a combination of lots has fallen, after the compliance of the Payment Conditions.

La carga de los equipos durante la retirada es responsabilidad exclusiva de El Comprador. LEGAL AUCTIONS SUBASTAS, S.L facilitará a El Comprador nombres de empresas de carga, pero este proceso deberá ser organizado por él mismo.

Purchase Price: The amount of the highest bid increased by the following costs :

- 15% Premium of the highest bid Auction

- VAT or I.V.A. at legal tax, when applicable.

Delivery: The actual delivery of the lot(s) to the purchaser or his authorized agent.

Special Auction Terms : The provisions applying in addition to these general auctions terms, stated in the Auction catalogue concerned, or orally announced before the auction of the lot or combination of lots concerned by Legal Auctions, S.L.

Article 1

Description of Lots

1.

Legal Auctions Subastas, S.L strive for a correctness and clarity as large as possible of the description of a lot in Auction catalogues, without accepting any liability for damage resulting from incorrect or incomplete descriptions or other damage.

2.

A lot will be sold with all faults in the state in which it is at the time of the allotment. The Purchaser will be deemed to have carefully investigated beforehand the lot purchased by him. LOTS SOLD “AS IN, WHERE IS”.

3.

Buyers are responsible for all matters concerning dismantling, packing and removable of the sold lots. Buyers are also responsible to apply good and safe techniques for the above mentioned processes. A lot will be for the risk of the purchaser from the moment of allotment. Since it can given the circumstance that there is no safety in the facilities of the auction, LEGAL AUCTIONS SUBASTAS, S.L. not accept any liability towards the purchaser for any damage, losses or whatever nature. One recommends to the buyer to assure his purchases as soon as possible.

Article 2

Organization of the Auction

1.

The organization, preparation and execution of the auction are of Legal Auction Subastas’s responsability.

2.

The Auction will be held in the order as stated in the catalogue, but Legal Auctions Subastas, S.L. will have the right to deviate therefrom.

3.

Any item not marked or numbered will not be considered in the Auction without the approval from either the Vendor or LEGAL AUCTIONS SUBASTAS, S.L.

4.

Legal Auctions Subastas, S.L will have the authority before or during the Auction to decide the following :

- Not to acknowledge a bid as such;

- To exclude one or more prospective buyers from the Auction;

- To join items into lots, to split lots and to withdraw item/lots from the auction;

- Insofar as it concerns all lots or one or more lots, to cancel and to interrupt the Auction, to again proceed to auction, or to resume the Auction at the penultimate bid;

- To rectify mistakes of Legal Auctions Subastas, S.L at bids and/or allotments, without a prospective Buyer being able to take profit with these mistakes;

- To take other, in its opinion, necessary measures

5.

Legal Auctions Subastas, S.L will decide whether a mistake has been made by the bidder in making the bid.

6.

The judgement of LEGAL AUCTIONS SUBASTAS, S.L. as regards the development of the Auction and the explanation or adaptation of the auction terms will be decisive.

7.

For anything as regards the auction, the parties involved in the auction will choose domicile, if possible, at the office of Legal Auctions Subastas, S.L.

Article 3

Arrangements of Sale

1.

The allotments will be the highest bids.

2.

Bidding will take place in public in a manner clearly observable. Legal Auctions Subastas, S.L. will be authorized to bring out bids on behalf of third parties.

3.

The Bidder of the highest bid is responsible for his bid and will be the lot’s purchaser after allotment.

4.

The Bidder of the highest bid or the bidder of the penultimate bid will be held to his bid during the auction day, in case the allotment does not take place or turns out not to have taken place to the highest bidder because the suspensory condition has not been fulfilled.

5.

Lots will be sold to the highest bid. Minimum values may however be imposed on some lots. When the highest bid is less than the minimum value, Legal Auctions Subastas, S.L. will register this highest offer. LEGAL AUCTIONS SUBASTAS, S.L. will have the information of the approved offers within 4 days.

Article 4

Bid

1.

Any bid will be unconditional, irrevocable and without any restriction.

2.

If one or more persons jointly declare to have brought out a bid or to jointly buy, they will be severally liable together for the obligations resting on them by virtue of the Auction.

Article 5

Bid made on behalf of third parties – Bid or buy by proxy

1.

The person who at the Auction actually brings out the bid will be designated as Bidder, even if he declares not to have bought for himself, and will be personally responsible for the observance of the obligations as regards Legal Auctions Subastas, S.L., or the Vendor.

2.

Legal Auctions Subastas, S.L may accept bidding orders of candidate buyers, and may set further conditions as regards these bidding orders. Neither Legal Auctions Subastas, S.L., or its personnel may in any way be held responsible for neglects or mistakes in the execution of the bidding orders. Legal Auctions Subastas, S.L., will have the right to refuse bidding orders and in case of acceptance of a bidding order to demand full or partial payment.

3.

At the same time Legal Auctions Subastas, S.L will have the right to refrain from the execution of a bidding order, if the description in the Auction catalogue of the lot or combination of lots to which the bidding orders relates is revoked during the Auction and substituted with another description.

4.

The Auction terms unabridgedly apply to a purchase achieved by execution of a bidding or purchaser order.

Article 6

Allotment, Non-Allotment and Cancellation

1.

The purchase agreement as a consequence of the Auction will be achieved by the Allotment. The Allotment includes the business agreement to deliver under the suspensory condition that the Buyer has satisfied all his obligations to Legal Auctions Subastas, S.L and the Vendor.

2.

Legal Auctions Subastas, S.L will have the right of :

- not to allot or

- to allot under suspensory condition

Article 7

Purchaser’s Payment Obligations

1. Inmediately after the auction, the Buyers must go through the Administration area, where LEGAL AUCTIONS SUBASTAS, S.L. request to pay as a deposit on account, 50% of the auction value. For more expeditious procedures Administrative LEGAL AUCTIONS SUBASTAS, S.L. will determine an order, giving priority always and in any case, those buyers whose amounts are the highest.

2.

The total purchase price should be paid to LEGAL AUCTIONS SUBASTAS, S.L. by means of Bank Transfer to:

not later than November 6th, before or at the occasion of the delivery of the alloted lot(s). In case of the purchase price is not paid until this date, Legal Auctions Subastas, S.L has the right to consider null the selling, or alternatively, charge the purchaser with a 15% commission of the purchase price added to default interest in respect of such period.

3.

1º Payment or caution: In case of refusal or inability of the Buyer to satisfy cautionary deposit of 50%, at the choice of Legal Auctions Subastas, S.L the lot or the combination of lots will be again brought up for auction or alloted to the highest bidder(s) or the penultimate bidder(s), as the case may be, or be sold privately under Auction terms, without prejudice to the Buyer forfeits the bond deposited and incurring other responsibilities.

4.

2º Paymemt or rest: If the Buyer does not obey the above mentioned conditions of payment, the cautionary deposit mentioned on item nº 1 of this article will immediately revert to LEGAL AUCTIONS SUBASTAS, S.L.

Foreign purchasers will have to hand a Bank Guarantee or a Certified Check over to LEGAL AUCTIONS SUBASTAS, S.L., in order to pay this cautionary deposit.

5.

The attendance at the Auction is obliged to satisfy LEGAL AUCTIONS SUBASTAS, S.L. 15% of auction value. Any incident that may lead to a resolution of the sale, in no case shall not relieve the contractor to pay legal fees. Consequently, non-payment of part, or the entire purchase (lost awarded) by the purchaser shall not relieve it of paying to LEGAL AUCTIONS SUBASTAS, S.L., stipulated commission, notwithstanding that both, seller and LEGAL AUCTION SUBASTAS, S.L., directly exercise the legal actions, law assist them.

In the case, the Buyer or Bidder liable for the daily expenses of custody, security, insurance and deposit in the parking lot where the goods are, as well as, the loss of earning resulting from not being able to use such assets during the period between the breach and the court decision.

Article 8

Information Requirement

8.1.

Every Bdder will be under the obligation to properly prove his identity if requested by Legal Auctions Subastas, S.L and shall provide all the necessary information in order to investigate whether the party(ies) involved can/will be able to satisfy his/their financial obligations resulting from this Auction.

8.2.

ALQUIMADRID VENTA DE MAQUINARIA DE OBRAS PÚBLICAS, S.L., CONSTRUCCIONES OGELLA, S.L., CONSTRUCCIONES J.D. FERREIRA, S.L., PASCUAL HERMANOS, S.L., TEJOCAR MOTOR, S.A., Y AGUIR, S.A., (TODAS EN LIQUIDACIÓN), AND OTHER, promises to the raising of the existing seizures orders in the maximum term of TWO MONTHS, without prejudice that the above mentioned raisings can be realized before this date. The possible one not raising for the corresponding court of some seizure order, in the stipulated term, on some lot awarded in the auction, will give right to the successful bidder, to the recovery of the amount of the price paid without interests, giving up presenting expressly claims of any type against the SELLER y/o LEGAL AUCTIONS SUBASTAS, S.L. In this sense, the successful bidder or buyer who has withdrawn the goods of the place of the auction, will have to return them to its place of origin without any cost for THE SELLER y/o LEGAL AUCTIONS SUBASTAS, S.L. in the five days following the maturity of the term stipulated to proceed to the raising of the seizure order. No expenses will be reimbursed improvements, repairs, etc.., in goods, supported by Buyer or Bidder.

Article 9

Delivery

1.

As soon as the Buyer has satisfied all his payment obligations as afore-stated, the purchaser may collect the lot(s) concerned at the hours and place fixed by Legal Auctions Subastas, S.L by showing proper identification against the delivery of the goods. The purchaser will be under the obligation to collect all the lots before November 20. If this date is disregarded the buyer will be held responsible for all the damages caused and should paid to Legal Auctions Subastas, S.L. the amount of 50,00 euros in concept of expenses for lot and day from the maturity of the term of retreat.

2.

After delivery it is no longer possible to demand dissolution of the purchase agreement.

3.

A lot will be for the risk of the Buyer from the moment of the allotment. Legal Auctions Subastas, S.L and the Vendor do not accept any liability towards the purchaser for any damage of whatever nature. *Special paragraph for vehicles.

4.

The Buyer is under the obligation respect the dismantling practises and schedules referred on the Special Conditions of Sale.

5.

The Buyer will be under the obligation to carefully and expertly collect their lot. They will be responsible for the full amount for any damage that is inflicted to properties of others in connection therewith. They will furthermore be under the obligation to indemnify Legal Auctions Subastas, S.L and the Vendor for all claims of third parties, resulting from that collection.

Article 10

Transfer and change of ownership of vehicles.

10.1. After Buyer has fulfilled its obligations with respect to payment under the terms and conditions set forth above, LEGAL AUCTIONS SUBASTAS, S.L., on behalf of the Seller will initiate the process led to the transfer / them, asking for documentation Buyer needed as both Bankruptcy Administration itself, which also will request the lifting of loads or charges, if any, affect awarded to vehicles, all with a view to ensuring the success of such transfer or change of ownership. In case cannot be lifted loads within a maximum period of three months, the Buyer may request cancellation of purchase or accept an extension of the deadline.

If Buyer opt to cancel the purchase, LEGAL AUCTIONS SUBASTAS, S.L., advance refund the Buyer or Bidder, discounting, where applicable, the amount of traffic sanctions that affect the vehicle/s that were generated from the delivery.

Transfer of vehicle registered in Spain.

10.2. The buyer shall provide to LEGAL AUCTIONS SUBASTAS, S.L. within 10 days the following documentation:

a) Legal Person:

1) Form of notify signed

2) Identification Card copy

3) VAT number

4) Power of Attorney Certificate

b) Natural Person:

a. Form of notify signed

b. Identification Card copy

10.3. - LEGAL AUCTIONS SUBASTAS, SL will proceed with the notice of sale to the General Direction of Traffic, a procedure that generates a cost of 150. - € for each vehicle and is payable by the Buyer or Bidder. This amount must be paid by bank transfer prior to the start of the proceedings. 10.4. - However, if the Buyer requests to make the transfer to his name, LEGAL AUCTIONS SUBASTAS, SL will carry out the relevant procedures. The cost of this procedure for each vehicle will be 220.- € , and is payable by the Buyer or Bidder, who shall pay it to LEGAL AUCTIONS SUBASTAS , SL by bank transfer prior to the start of the proceedings.

10.5. - The Buyer or Bidder must remove vehicles within the stipulated Article 9 of the General Conditions of Sale, however during the period running from the removal of car/s until the time of title transfer, if the Buyer or Bidder decided to make any improvements or repairs to a vehicle awarded, shall be at sole risk of the Buyer or Bidder. In this sense, if the transfer vehicle/s could not be carry out for reasons beyond the Buyer or Bidder (such as the inability to proceed with the lifting of loads that affect them by the holder thereof), LEGAL AUCTIONS SUBASTAS, SL return to the previous, the exact amount for the Auction Value plus Commission plus VAT paid, and in no case shall bear the costs that would have been generated by the concepts described above.

10.6.- LEGAL AUCTIONS SUBASTAS, S.L. neither guarantees nor responsible if the sold vehicles have to led the Technical Inspection (I.T.V.). It will be a responsibility of the buyer to expire with this requirement if this one has expired and there will have to sign before the retreat the correspondent Insurance Policy.

10.7.- LEGAL AUCTIONS SUBASTAS, S.L. does not become a person in charge by the lack of diligence of the buyer in the moment to provide the necessary documents to realize the transfers of the vehicles. In the same way Legal Auctions Subastas, S.L. does not take responsibility of that the vehicle could not register with the documentation provided by the Vendor, not of that the vehicle is authorized in conformity with the procedure of the CE, the article proceeds or has been imported in the European Union.

10.8.- The trucks are sold WITHOUT TRANSPORTATION BOARD (unless otherwise indicated), therefore everyone who bid on these lots, is aware that must purchase the corresponding transport card.

Article 11

Cautionary Deposits

In case of cancellation of the sale, the Buyer shall not require Legal auctions Subastas, S.L., or Vendor, any payment of interest accrued on the signals to account or for the payment of the lots to resolution.

Article 12

Viewing Days, Auction Days, Days of Delivery

1.

Those who enter buildings and sites on the viewing days and/or auction day and/or on delivery, in/on which the viewing days/auction are/is being held and/or the delivery takes place, will enter these buildings and sites entirely on their own risk. One will be under the obligation to follow the instructions of Legal Auctions Subastas, S.L and/or persons called in by Legal Auctions Subastas, S.L

2.

Legal Auctions Subastas, S.L and the Vendor do not accept any responsibility for any damage to the parties involved, which entails the entering of said buildings and sites.

Article 13

Applicability of Spanish Law

1.

To this general terms and legal relations, which as regards the auction might occur, Spanish law will be applied.

Article 14

Exemption from Territorial Jurisdiction

For any dispute inherent in or deriving from this document, jurisdiction shall belong exclusively to the Madrid Court.

CASE OF ANY DISPUTES THE SPANISH TEXT OF THESE AUCTION TERMS WILL BE GIVEN PREFERENCE OVER THE ENGLISH TEXT
